1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Yayalist ("Company," "we," "us," or "our") governing your access to and use of the Yayalist website, mobile applications, and related services (collectively, the "Service").

By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. You also agree to comply with all applicable local, state, national, and international laws and regulations.

Eligibility: You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement.

2. Description of Service

Yayalist is an online marketplace platform that enables users to:

• Buy and sell products, goods, and items
• List and find employment opportunities and gigs
• Advertise and search for housing, rentals, and real estate
• Offer and discover local services
• Buy, sell, and trade vehicles
• Connect with community events and activities
• Find food, grocery, and restaurant options
• Access health, wellness, beauty, education, professional, pet, and travel services

Platform Only: Yayalist is a venue. We are not a party to any transaction between users. We do not transfer legal ownership of items from seller to buyer, employ any service providers listed on the platform, or guarantee the quality, safety, legality, or availability of any listing.

3. User Accounts and Registration

3.1 Account Creation

To access certain features of the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Create only one account per person
• Not transfer your account to another person
• Not use another person's account without permission

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring you log out at the end of each session on shared devices

3.3 Account Verification

We may require identity verification for certain features. You authorize us to make inquiries necessary to validate your identity. Failure to provide requested verification may result in account limitations or suspension.

4. User Conduct and Responsibilities

4.1 General Conduct

You agree to use the Service only for lawful purposes. You will not:

• Violate any applicable law, regulation, or third-party rights
• Engage in fraudulent, deceptive, or misleading conduct
• Post false, inaccurate, or misleading content
• Distribute spam, chain letters, or unsolicited communications
• Harass, threaten, or intimidate other users
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any portion of the Service
• Use automated means (bots, scrapers) to access the Service without permission
• Circumvent, disable, or interfere with security features

4.2 Transaction Conduct

When engaging in transactions, you agree to:

• Honor all commitments made to other users
• Provide accurate item descriptions and pricing
• Complete transactions in good faith
• Communicate respectfully with other users
• Not engage in price manipulation or shill bidding
• Not circumvent platform fees through off-platform transactions

5. Listing Policies

5.1 Listing Requirements

All listings must:

• Accurately describe the item, service, or opportunity
• Include genuine photographs (when applicable)
• State the actual price and any additional costs
• Be placed in the appropriate category
• Comply with all applicable laws and regulations

5.2 Prohibited Items and Services

The following are strictly prohibited on Yayalist:

• Illegal items or services
• Weapons, firearms, ammunition, and explosives
• Controlled substances, drugs, and drug paraphernalia
• Stolen property or items with removed serial numbers
• Counterfeit, replica, or pirated goods
• Items that infringe intellectual property rights
• Adult content, pornography, and escort services
• Human trafficking or exploitation
• Wildlife and protected species
• Hazardous materials and recalled products
• Financial instruments and securities
• Multi-level marketing or pyramid schemes
• Listings that promote discrimination or hate
• Personal information of others

5.3 Listing Removal

We reserve the right to remove any listing at our sole discretion, without notice, for any reason including but not limited to violation of these Terms, applicable laws, or our policies.

6. Fees and Payments

6.1 Service Fees

Yayalist may charge fees for certain services, premium features, or transactions. All applicable fees will be clearly disclosed before you complete a transaction or subscribe to a service.

6.2 Payment Terms

• All fees are due at the time of service
• Fees are non-refundable unless otherwise stated
• You are responsible for all taxes associated with your use of the Service
• We may change our fees at any time with reasonable notice

6.3 Billing

By providing payment information, you authorize us to charge your payment method for all fees incurred. You are responsible for keeping your payment information current.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by Yayalist and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without express written permission.

7.2 User Content

You retain ownership of content you post. By posting content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with operating and promoting the Service.

7.3 Copyright Infringement (DMCA)

We respect intellectual property rights. If you believe content on our Service infringes your copyright, please send a DMCA notice to our designated agent at dmca@yayalist.com with:

• Identification of the copyrighted work
• Identification of the infringing material with location
• Your contact information
• A statement of good faith belief
• A statement under penalty of perjury that you are authorized
• Your physical or electronic signature

8. Disclaimers and Limitations of Liability

8.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 No Guarantees

We do not guarantee that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• The results from using the Service will be accurate or reliable
• Any errors in the Service will be corrected
• Any user will complete a transaction
• Any item or service listed is as described or of satisfactory quality

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL YAYALIST, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your content
• Any transaction between users

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, OR (B) ONE HUNDRED DOLLARS ($100).

8.4 User Transactions

Yayalist is not responsible for disputes between users. You acknowledge that you bear all risks associated with transactions with other users, including but not limited to non-delivery, defective items, misrepresentation, and fraud.

9. Indemnification

You agree to defend, indemnify, and hold harmless Yayalist and its subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your User Content
• Your interaction with other users
• Your violation of any third-party rights
• Your violation of any applicable laws

10. Dispute Resolution

10.1 Informal Resolution

Before filing any formal legal claim, you agree to first contact us at legal@yayalist.com to attempt informal resolution. We will work with you in good faith to resolve your concern within 30 days.

10.2 Binding Arbitration

If informal resolution fails, any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules. The arbitration shall be conducted in the United States, and judgment on the arbitration award may be entered in any court having jurisdiction.

10.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND YAYALIST INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

10.4 Exceptions

Nothing in this section prevents either party from seeking injunctive or other equitable relief in court for matters related to intellectual property or unauthorized access to the Service.

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us or using account settings. Upon termination, your right to use the Service will immediately cease.

11.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Behavior harmful to other users or the Service
• Upon request by law enforcement
• Extended periods of inactivity
• Discontinuation of the Service

11.3 Effect of Termination

Upon termination, all licenses granted to you will terminate, but provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. General Provisions

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

12.2 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service with a new "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

12.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

12.4 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Yayalist concerning the Service.

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
